Bitex Trade LLC holds a valid Free Zone Financial License No. L38-2025, issued by the Kutaisi Free Zone, authorising the company to operate as a Virtual Asset Service Provider, including on/off-ramping activities and blockchain development services. The entity is further licensed to provide staking and lending services exclusively to individuals who are neither residents nor citizens of Georgia, in accordance with applicable Free Zone regulations.

Bitex Pay LLC holds a valid Free Zone Financial License No. L37-2025, issued by the Kutaisi Free Zone, authorising the company to provide electronic money issuance, electronic wallet services, and payment processing services. These services are offered exclusively to individuals who are neither residents nor citizens of Georgia, in accordance with applicable Free Zone regulations.

PLEASE READ THESE TERMS OF USE CAREFULLY. By accessing or using the services provided via the website, mobile application or other interfaces of Bitex.live (the “Platform”), you (“you”, “your”, or “User”) agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must immediately cease access to and use of the Platform.

1. DEFINITIONS

  1. “Account” means the account you open with us to access the Platform.
  2. “Assets” means cryptocurrencies, tokens or other digital assets that the Platform supports for trading, deposit, withdrawal or other services.
  3. “Services” means the brokerage, exchange, deposit, withdrawal, wallet, trading and other services offered by Bitex.live via the Platform.
  4. “Third-Party Services” means any service, functionality or platform not owned or controlled by us, including external wallets, blockchain networks, or other service providers.
  5. “You” or “User” means any individual or entity accessing or using the Platform.
  6. “We”, “Us”, “Our” or “Bitex.live” means the operator of the Platform, its affiliates, successors and assigns.

2. ACCEPTANCE AND APPLICATION OF TERMS

  1. These Terms constitute a legally binding agreement between you and Bitex.live. Your use of the Platform is conditional upon your acceptance of and compliance with these Terms.
  2. You represent and warrant that you are of legal age and capacity to enter into these Terms and that you will comply with all applicable local, national and international laws and regulations, including those relating to anti-money laundering (“AML”), counter-terrorist financing (“CTF”), sanctions, tax, and consumer protection.
  3. We may make updates or changes to these Terms at any time. We will post the updated Terms on the Platform and update the “Last Updated” date above. Your continued use of the Platform after the posting of the modified Terms constitutes your acceptance of the changes.

3. ACCOUNT OPENING, USE AND SECURITY

  1. To access certain Services, you must open and maintain an Account with Bitex.live. You agree to provide accurate, complete and current information when registering for an Account and to update such information as required.
  2. You are responsible for maintaining the confidentiality of your Account credentials (including passwords, two-factor authentication, etc.). You are fully responsible for all activity occurring under your Account.
  3. You must notify us immediately of any unauthorized use or suspected unauthorized use of your Account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with your obligations.
  4. We may suspend, restrict, or terminate your Account if we suspect fraudulent or unlawful activity, or in breach of these Terms, or for compliance or security reasons.

4. SERVICES AND TRANSACTIONS

  1. We offer access to buying, selling, depositing, withdrawing and trading Assets, subject to the terms and conditions on the Platform and applicable regulatory requirements.
  2. All transactions executed through the Platform are subject to the Platform’s rules, fees, risk disclosure, and settlement procedures as published on the Platform from time to time.
  3. You acknowledge that trading or transacting in Assets involves risks, including but not limited to volatility, liquidity, regulatory changes, system errors, blockchain network failures, and market manipulation. You accept these risks and agree that we make no guarantee of profit or of avoiding losses.
  4. We reserve the right in our sole discretion to refuse or cancel any transaction, limit trading, impose margin or collateral requirements, or otherwise modify or discontinue any Service at any time, for any reason or no reason.

5. PROHIBITED USES

You shall not:

  1. Use the Platform in any way that violates any applicable law or regulation, including AML/CTF, sanctions, tax or securities laws;
  2. Use the Platform for any unlawful purpose, including but not limited to fraud, manipulation, insider trading, money laundering, terrorist financing or other illicit activity;
  3. Attempt to interfere with or disrupt the Platform, third-party services, blockchain networks or any other user’s use;
  4. Impersonate another person or entity or misrepresent your affiliation with any person or entity;
  5. Access or attempt to access the Platform by any means other than the interface provided by us;
  6. Use the Platform to provide services to third parties (such as a pooled account or managed account) unless explicitly authorized by us;
  7. Use the Platform in a way that imposes an unreasonable burden on our infrastructure or others’ use of the Platform.

6. INTELLECTUAL PROPERTY

  1. All content, trademarks, service marks, logos, designs, software, code, system architecture and other intellectual property (collectively, “IP”) on or used by the Platform are the sole and exclusive property of Bitex.live or its licensors.
  2. Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, display, transmit, sell or create derivative works of any IP.
  3. Any feedback, suggestions or ideas you provide to us regarding the Platform may be used by us without liability or further obligation to you.

7. DISCLAIMERS & WARRANTY

  1. The Platform and Services are provided on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind, whether express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy of data or operation.
  2. We do not guarantee that access to the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform or its servers are free of viruses or other harmful components.
  3. You assume all risks arising from use of the Platform and the Assets, including loss of principal or other damages.

8. LIMITATION OF LIABILITY

  1. To the fullest extent permitted by applicable law, Bitex.live, its officers, directors, employees, agents, affiliates, successors and assigns shall not be liable for any indirect, incidental, special, punitive, exemplary, consequential or exemplary damages (including loss of profits, loss of business, loss of data, loss of goodwill or business interruption) arising out of or in any way connected with your access to or use of the Platform or Services, even if we have been advised of the possibility of such damages.
  2. In no event shall our aggregate liability for all claims, losses, liabilities or damages arising under these Terms exceed the amount of fees paid by you to us in the twelve (12) months preceding the event giving rise to liability (or, if no fees were paid, USD 1,000).
  3. Some jurisdictions do not allow the exclusion or limitation of certain liabilities; accordingly, the above limitations and exclusions may not apply to you in whole or in part.

9. INDEMNITY

You agree to indemnify, defend and hold harmless Bitex.live, its officers, directors, employees, agents, affiliates and successors from and against any and all claims, liabilities, damages, losses or expenses (including reasonable legal fees) arising out of or related to: (i) your violation of these Terms; (ii) your misuse of the Platform; (iii) any transaction you engage in via the Platform; (iv) your failure to comply with applicable laws; or (v) any third-party claim relating to your Account or use of the Platform.

10. COMPLIANCE, AML/CTF AND SANCTIONS

  1. You acknowledge and agree that we must comply with applicable AML/CTF laws, sanctions regimes, tax obligations and other regulatory requirements. As part of such compliance, we may require identity verification, background checks, enhanced due diligence, transaction monitoring, freezing of accounts, reporting to relevant authorities and other actions.
  2. You shall provide any information, documentation or assistance we reasonably request in connection with our compliance obligations.
  3. We reserve the right to suspend or terminate your Account, restrict functionality, freeze assets or refuse transactions if we suspect or determine a violation of applicable laws or our compliance obligations, or if required by a governmental or regulatory authority.

11. SUSPENSION AND TERMINATION

  1. We may suspend or terminate your access to the Platform, restrict your Account, or delete your Account (and all associated Assets, subject to applicable law) at our sole discretion, for any reason or no reason, with or without notice, including but not limited to breach of these Terms or regulatory or compliance obligations.
  2. Upon termination: (a) you must cease all access to the Platform; (b) any outstanding obligations to us will remain in effect; (c) we may delete or deactivate your Account and we may retain certain information as required or permitted by law; (d) we may facilitate withdrawal of your remaining Assets under such conditions (if any) we impose.

12. PRIVACY AND DATA PROTECTION

Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference. You agree to the collection, storage and processing of your Personal Information as described in the Privacy Policy.

13. GOVERNING LAW AND DISPUTE RESOLUTION

  1. These Terms shall be governed by and construed in accordance with the laws of any jurisdiction without giving effect to any choice-of-law or conflict-of-law provision or rule.
  2. Any dispute, controversy or claim arising out of or relating to these Terms or your use of the Platform shall be resolved by arbitration/in-court litigation in any jurisdiction unless we both otherwise agree. The parties each waive any right to a jury trial or to participate in any class action or representative proceeding.
  3. If any portion of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. MISCELLANEOUS

  1. Entire Agreement. These Terms (together with any additional terms posted by us) constitute the entire agreement between you and Bitex.live regarding your use of the Platform, and supersede all prior or contemporaneous agreements, understandings or representations.
  2. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer in whole or in part our rights or obligations under these Terms without your consent.
  3. No Waiver. No failure or delay by us in exercising any right under these Terms shall operate as a waiver of that right.
  4. Severability. If any provision of these Terms is deemed invalid or unenforceable, the remainder of the Terms shall remain in full force and effect.
  5. Notices. We may provide notices to you via email, posting on the Platform or other means. Notices to us must be sent to [email protected].
  6. Relationship. The parties are independent contractors and nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and us.

15. RISK DISCLOSURE

You acknowledge that the purchase, sale and trading of digital assets carry significant risk. Assets are highly volatile and may be subject to extreme price fluctuations, lack of liquidity, regulatory or exchange halts, technological risks (including blockchain failures or hacks), and legal or enforcement risks. You should only engage in transactions if you understand and accept the risks. You are responsible for your own trading and investment decisions and none of the information on the Platform constitutes financial, investment, tax or legal advice.
